What is Direct Private Offers?

Direct Private Offers is a FINRA regulated funding portal where Companies can list their Prospectus Exempt Private Offers; and accredited investors can invest in great companies.

What companies post on Direct Private Offers?

Direct Private Offers helps start-ups, funds, and early stage growth companies raise capital. Companies on Direct Private Offers can be start ups, early stage development Companies and small to mid-cap reporting and non-reporting Companies. The Companies can be from anywhere in the world and may be listed on various quotation boards or stock exchanges. Direct Private Offers also lists funds when they have Attorney prepared Private Placement Offering Memorandums.

Does it cost anything to list on Direct Private Offers?

It’s free to submit a proposal to Direct Private Offers. Simply complete our Business Registration Questionnaire; and we’ll follow-up with a one-on-one phone call within 24 hours. If you qualify for a listing and go live, you will only incur a $3,000 U.S.D. fee that covers your listing and any other subsequent offers for a year. The fee is 100% deducted from the first capital you raise.

How do we prepare our Offering Documents?

The preparation of a F1-A or U7 prospectus is supported by Direct Private Offers; and help is available every step of the way. Both documents are very similar; but the U7 prospectus is a fill in the blank PDF that is supported with an Instructional Manual. You may consult with legal counsel to prepare an opinion letter which you can amend to the Offering Documents; or you can use an Attorney prepared Private Placement Offering Memorandum. We do not provide legal advice; but, depending on which prospectus exemption you choose to use, you may be covered by a number of ‘safe harbor’ provisions – consequently, you may not require legal advice, which makes Direct Private Offers a feasible option for bootstrappers and frugal organizations.

How much Capital can I Raise Money on Direct Private Offers?

Depending on the Prospectus Exemption you choose – the sky is the limit.

What if I don't reach my funding goal?

For Direct Private Offers to accept your listing – you must have a pretty good chance of raising sufficient capital. However it is the market that dictates your success.

How do we get started?

Start by registering as a Company, create a profile and complete our Business Registration Questionnaire. Direct Private Offers does not charge a fee to review your offer and gauge your chances of success.

What happens when we get listed?

Tell everyone you know that your offer is listed on Direct Private Offers. Talk to your friends and family and ask them to suggest others you can reach out to. “Skin in the game” is the first thing that investors look at if they think your offer has merit, without a large capital investment an Entrepreneur can assert considerable influence by having his friends and family invested in the offer.

Direct Private Offers uses social media and networking sites to drive traffic to the Funding Portal website and indeed compliments these channels with active marketing. Statistics indicate that 30% of investments typically come from your own extended network while the balance comes from that network’s reach. It’s important to respond to investor questions and comments and keep investors informed on new developments in your company. Plan on working on content every week – we use automated marketing technology to drip out content to numerous social media channels on a daily basis.

What is an Investment Overview?

An Investment Overview is an overview of your pitch that provides pre-qualified Investors with an informed outline of your business idea. It includes information about the problem, the solution, the market and financial forecasts.

I don't have a Video Pitch, what should I do?

Don’t worry! While will help you every step of the way. A Power Point video pitch is easy to prepare. A video pitch is a great way to emphasize the strengths of your business idea and how you plan to attack the market with the team you have or plan to recruit.

Is there a time limit for funding?

Yes. All opportunities are listed for one year. This allows a reasonable time-frame to market the opportunity and enables a constant flow of fresh opportunities through the pipe-line.

How do we share our Investment Opportunity?

Direct Private Offers provides social networking tools that allow you to share your opportunities before and during the listing period.

How do we get our Investment Opportunity featured?

We give all Investment Opportunities equal exposure. Some offers will require special target marketing to certain niche investors and the company should be prepared to spend some money ‘target marketing’.

What method of funds transfer do Investors use?

A listing on Direct Private Offers is contingent on using PayPal. PayPal has a sophisticated dispute resolution system and investors are not obliged to give their credit card information to the company or Direct Private Offers. Once the $3,000.00 U.S.D. listing fee is paid to Direct Private Offers the PayPal account will be re-directed to the Company.

When do we receive our funds?

Funds are held for 48 hours; and investors have the right to request their funds back in that time frame. This is consistent with ‘buyer’s remorse’ legal context; and a condition of listing on Direct Private Offers. The funds are available to the Company after this time frame elapses.

What happens when the funding round is over?

Your listing fee covers you for a year; and you can make subsequent offering rounds if you wish in that time frame.

Who can invest in Opportunities on Direct Private Offers?

Investors must meet certain investor qualifications to review, evaluate Investment Opportunities listed on Direct Private Offers. For the most part Companies target ‘accredited investors’; but there are exceptions depending on the Prospectus Exemption that is used by the Company or Fund.

Does it cost anything to join the Direct Private Offers community?

When you have evaluated the opportunities and found a company that interests you, send the Company an “Expression of Interest”. You will communicate with the Company in the manner that you choose. From your negotiation you can invest directly through the portal via PayPal.

Investors transfer funds directly through the funding portal via PayPal.

When do you withdraw my funds?

You never need to provide bank account information or credit card information at Direct Private Offers. We use PayPal. Funds are held for 48 hours and this is a ‘buyer’s remorse’ provision. You can ask for your money back in that time frame; but after that, you have acquired restricted shares and there may not be a secondary market to sell the shares once the restriction is lifted off them.

What happens when the funding round is over?

You monitor your investment with our portfolio tools. You can come back at any time to invest more funds.
